Red 7 Media Acquires Agenda USA Publications

Strategic Move Strengthens Company’s Penetration of Growing Event Industry

NORWALK, CT (September 5, 2006) – Red 7 Media, a magazine publishing company based here, announced today its acquisition of Agenda USA, a New York-based publisher of regional directories and expos for corporate special event planners. Terms of the deal were not disclosed.

Red 7 Media publishes magazines and produces executive conferences in the event and publishing industries. The company's event-industry brands include Event Marketer, a national magazine read by corporate event marketing executives; and Event Design Magazine, which is read by designers of events, exhibits and environments. The addition of the Agenda publications extends and strengthens Red 7 Media's position within the growing event industry by adding regional coverage of leading event venues and resources in the country’s most active markets for corporate events.

The Agenda publications, founded in 1988, are published in 7 markets, including New York City, Boston, Washington, DC, Chicago, Southern California, Northern California and Las Vegas and reach more than 70,000 event planners within those markets. In addition to serving these markets with the oldest and largest venue guides, Agenda also produces an annual Agenda Expo event in New York, which brings hundreds of qualified meeting and event planners together with representatives from leading venues and event services firms. The combined Agenda and Event Marketer/Event Design database of more than 140,000 event professionals in the U.S. will represent the largest database of its kind, providing numerous expansion and growth opportunities, many of which are already in development.

Agenda will continue to be led by founder and publisher John Jaxheimer, who will join Red 7 Media's management team and work with the company's senior leaders to build and grow the Agenda group utilizing Red 7 Media's resources and infrastructure.

Veronis Suhler Stevenson Mezzanine Partners, L.P., a mezzanine fund specializing in middle-market media, information and communications companies, provided Red 7 Media with financing for the Agenda transaction and the purchase of Primedia Inc.'s minority interest in Red 7 Media LLC. The investment represents the seventh transaction for Veronis Suhler Stevenson's debut mezzanine fund, which closed on January 31, 2005 with $123 million of committed capital. "We believe Red 7 Media is an attractive investment because of their strong underlying franchise and growth potential in the event industry" said Thomas Kemp, a Managing Director at Veronis Suhler Stevenson.

Hal Greenberg, co-manager of VSS Mezzanine Partners, L.P., also noted that this transaction is the fund's fourth investment in 2006. "This deal fits into a winning pattern of providing mezzanine financing to proven owners and managers to help them finance acquisitions, management buyouts, going-private transactions, growth equity and recapitalizations," he said.

Red 7 Media, founded in 2002, publishes magazines and newsletters, produces executive conferences and seminars, and creates custom marketing and lead-generations programs in the event and publishing industries. The company's publications include Event Marketer, Event Design, FOLIO Magazine, and Circulation Management Magazine. Among its flagship events are the annual Experiential Marketing Summit, the Event Design Forum, the FOLIO Show, the FOLIO Publishing Summit, and the Circulation Management Conference & Expo.
